- Scope
These Terms and Conditions apply to all offers, agreements and services provided by Nordsino ApS (“the Company”), unless otherwise agreed in writing.
The Company provides advisory and consultancy services including market analysis, sourcing, supplier identification, negotiation support, due diligence and strategic advisory related to trade between Europe and China.
Services are provided exclusively to business customers (B2B).
- Formation of Agreement
An agreement is considered concluded upon written acceptance of an offer by the client or upon commencement of services.
Offers remain valid for 14 days unless otherwise stated.
- Nature of Services
The Company provides advisory services based on professional experience and best judgement.
The Company does not act as manufacturer, importer, exporter, legal representative or contracting party unless expressly agreed in writing.
The Company does not guarantee specific commercial results.
The Company is not liable for actions or omissions of third parties, including manufacturers, suppliers, transport providers, financial institutions or authorities.
- Fees and Payment
All prices are stated exclusive of VAT and applicable taxes.
Payment terms are net 14 days from invoice date unless otherwise agreed.
For project-based services, the Company may require one of the following payment structures:
- 50% upon agreement and 50% prior to final delivery
- 40% upon agreement, 20% during project execution, and 40% upon completion
Work will commence upon receipt of the first payment instalment unless otherwise agreed.
In case of late payment, statutory interest will apply.
The Company reserves the right to suspend services in case of non-payment.
- Client Obligations
The Client is responsible for providing accurate and complete information.
The Client bears full responsibility for business decisions made based on the Company’s advisory services.
The Client shall bear all direct costs related to the execution of the project, including but not limited to:
- Shipment and transportation of product samples
- Customs duties and import charges
- Travel and accommodation expenses
- External testing, certification and inspections
- Payments to third-party suppliers
The Company assumes no liability for delay, loss or damage of samples or goods during transport, whether domestic or international.
- Limitation of Liability
The Company’s total liability shall under no circumstances exceed the lower of:
- The fee paid by the Client for the relevant assignment
or - DKK 50,000.
The Company shall not be liable for:
- Loss of profit
- Loss of business
- Indirect or consequential loss
- Currency fluctuations
- Regulatory changes in China or other jurisdictions
Any claim must be submitted in writing no later than six (6) months after delivery of services.
- Force Majeure
The Company shall not be liable for failure or delay caused by circumstances beyond its reasonable control, including but not limited to:
- Government intervention
- Trade restrictions or sanctions
- War
- Strike
- Pandemic
- Transportation disruptions
- Confidentiality
Both parties shall treat all commercial and technical information as confidential, including after termination of cooperation.
- Intellectual Property
All materials, analyses, reports and know-how prepared by the Company remain the property of the Company.
The Client is granted a non-exclusive right of use for internal purposes only.
- Governing Law and Jurisdiction
These Terms shall be governed by Danish law.
Any dispute shall be settled by the competent Danish courts at the Company’s registered venue.
- Export Control and Sanctions
The Client is responsible for compliance with applicable export control regulations, sanctions and trade restrictions in Denmark, the EU, China and other relevant jurisdictions.
The Company assumes no liability for losses resulting from regulatory changes, sanctions or governmental actions.
- No Legal or Financial Advice
The Company provides commercial and strategic advisory services only.
The Company does not provide legal, tax or financial advice unless expressly agreed in writing.
The Client is encouraged to seek independent legal and financial advice before entering binding agreements.
- Use of Subcontractors
The Company may engage subcontractors or partners in the performance of services.
The Company shall only be liable for its own services in accordance with applicable law.

Data is retained only as long as necessary and in accordance with applicable legislation.
Accounting records are retained for a minimum of five years.
